Welcome to Bureau95 (“we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website located at bureau95.com (the “Site”) and any video editing, post-production, or related services (collectively, the “Services”) we provide.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.
1. Our Services
Bureau 95 provides professional video post-production services. The specific details, deliverables, timelines, and pricing for any project will be outlined in a separate agreement, statement of work, or invoice provided directly to the client. These Terms apply generally to your use of our Site and the general engagement of our Services.
2. Client Materials and Ownership
To provide our Services, we may require you to submit raw footage, audio files, scripts, or other materials (“Client Materials”).
Your Ownership: You retain all intellectual property rights to your Client Materials.
Your Warranty: By providing Client Materials to us, you represent and warrant that you own the rights to these materials or have obtained all necessary licenses and permissions for us to use, edit, and manipulate them to complete your project.
Our Rights: You grant Bureau 95 a limited, non-exclusive license to use, store, and modify the Client Materials solely for the purpose of fulfilling our service obligations to you.
3. Deliverables and Intellectual Property
Upon full payment for our Services, Bureau 95 grants you the agreed-upon rights (usually full ownership or a broad commercial license, as specified in your individual project agreement) to the final exported video files (“Deliverables”).
Unless explicitly agreed upon in writing, Bureau 95 retains ownership of all project files, working files, node structures, and templates (e.g., DaVinci Resolve project files) created during the post-production process.
4. Portfolio Use and Confidentiality (NDA Option)
Standard Portfolio Use: Unless otherwise agreed upon in writing, Bureau 95 reserves the right to use the final, publicly released Deliverables (or excerpts from them) for promotional purposes. This includes, but is not limited to, displaying the work on our Site, social media channels, professional portfolios, and in marketing materials. We will never publish your materials before your official public release.
Non-Disclosure Agreements (NDA) and White-Label Services: We respect the privacy and confidentiality of our clients. If your project requires strict confidentiality, “ghost editing,” or white-label post-production, we offer the option to sign a Non-Disclosure Agreement (NDA) prior to the commencement of work.
Invisible Collaboration: In the event an NDA is executed, Bureau 95 agrees to keep the collaboration entirely confidential. We will not claim credit, mention the client, or use any provided materials or final Deliverables in our portfolio or marketing efforts, in strict accordance with the terms of the signed NDA.
5. Prohibited Conduct
When using bureau95.com, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to any portion of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
- Interfere with or disrupt the security, integrity, or performance of the Site.
- Transmit any viruses, malware, or other malicious code.
6. Disclaimer of Warranties
Your use of the Site and our Services is at your sole risk. The Site and Services are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
7. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Bureau 95 be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Site or our Services.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions.
9. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the “Last Updated” date. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
